ENGSoft Inc. having its head office in Seoul, the Republic of Korea (¡°ENGSoft") grants you a limited, personal, nontransferable, nonsublicensable, nonexclusive license to use OCX software developed by ENGSoft (¡°ENGSoftware").

You may use the ENGSoftware for developing your own software (¡°EndUserSoftware").   

If the EndUserSoftware is for the purpose of your personal use or of internal use of the company/organization you work with, this license is granted in royalty-free.   

However, if the EndUserSoftware is for the purpose of rent, lease, transfer or distribution to a third person or a company/organization you do not work with, a separate supplementary license agreement with ENGSoft Inc. is required for the purpose.

Whenever you use the ENGSoftware for the EndUserSoftware, you may not remove any proprietary notices or labels on the ENGSoftware.

You may copy the ENGSoftware for archival purpose, provided any copy must contain all of the original software¡¯s proprietary notices.

You may not, directly or indirectly, modify, translate, reverse engineer, decompile, disassemble the ENGSoftware.

This agreement does not entitle you to any maintenance, upgrade, patches, enhancements, fixes, new versions or other support for the ENGSoftware.

The ENGSoftware, and any services that you receive from ENGSoft, are provided ¡°as is¡± without warranty of any kind, either expressed or implied.  ENGSoft hereby disclaims all warranties, including, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement.

The entire risk arising out of the use or performance of the ENGSoftware and any services that you receive from ENGSoft, remains with you.

In no event shall the ENGSoft be liable for any consequential, incidental, direct, indirect, special, punitive, or other damages whatsoever, including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss, arising out of this agreement or the use of or inability to use the ENGSoftware, even if the ENGSoft has been advised of the possibility of such damages.

Any unauthorized use shall result in immediate and automatic termination of license.  If your license terminates, you agree to cease any and all use of the ENGSoftware.

The title, ownership rights, and intellectual property rights in and to the ENGSoftware, and any copies or portions thereof, shall remain in ENGSoft.

The ENGSoftware is protected by copyright laws of the Republic of Korea and international copyright treaties. (End)
